It is hard to believe spring is here and the summer heat will soon be upon us. So far, 2016 is turning out to be a very interesting year for director pay and ISS. When a first-class organization like Schlumberger gets a “no” vote on its proxy from ISS, it’s a wake-up call for other companies.

At Longnecker & Associates, we’re currently working with our clients on their proxies. We advise them to tell their stories and share their successes with stakeholders. To help shed light on these two topics, we have two great articles for you this month. The first is an original L&A article discussing director pay. It discusses how attracting and retaining corporate director talent is very complicated and how pending litigation may further complicate director compensation planning.

The second article gives an overview of L&A’s opportunity this month to ping some topics off of Institutional Shareholder Services Inc. (ISS) Corporate Solutions about their “Chinese wall.” It provides insight into Schlumberger’s result and how ISS makes decisions.

Lastly, the third article, written by Patricia Farrell at The Legal Intelligencer, is an interesting read about boards, CEO pay, risk and the importance of advisors. It’s an article from a well-known legal publication and directed toward mitigating risk with respect to executive pay. It was very well-done, so we wanted to share it with you all. 2016 Midstream Industry Compensation Survey Launches April 1.

At L&A, we’ve designed our 2016 Midstream Industry Compensation Survey to concisely and powerfully assess market trends and establish position benchmarks for companies in the midstream industry.
